Welcome to Spider!

These Terms of Service (this “Agreement”) are made by and between Spider Team (“Company” or “Website” or “Application” (including applications for tablets and other smart devices)) and the users of Spider and its related services (“you” or “Member”) for communications with other Members and other online services provided by Spider (“Services”). By clicking “Register” on the registration form, you accept all the terms and conditions of this Agreement and accept your registration on Spider.

If you do not agree to the terms and conditions of this Agreement, please do not click the “Register” button. Once you click the button, you will be bound by the terms of this Agreement, whether you register or purchase the Service. Spider may change the terms and conditions of this Agreement at any time, effective from the date the terms of this Agreement come into effect. Such notice shall be deemed to have been given to you when we publish the latest version of this Agreement on our website or when we update the Application with the latest version of this Agreement.

1. Eligibility

By registering on Spider, you represent and warrant that

a. you are 18 years of age or older;

b. you are not a person barred from using the Service under the laws of the United States or any other applicable jurisdiction;

c. you will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations; and

you have never been convicted of a felony or indictable crime (or a crime of similar severity), a sex offense, or any crime involving violence, and you are not required to register as a sex offender on any state, federal or local sex offender registry.

Membership in the Service and registration on Spider will be void where prohibited. By using Spider, you represent and warrant that you have the right, authority and capacity to enter into and abide by all of the terms and conditions of this Agreement. All information provided upon registration must be accurate, true and complete. If the identification provided is inaccurate or incomplete, we may, at our sole discretion, suspend the account until identity verification is successfully completed. You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity. You must keep your password and all account details confidential as you are responsible for the services that use your account and any other activities that occur on your account. Any transactions on your account will be valid if your username and password are entered correctly.

2. Terms

You can create an account by manually registering or using your Google, Facebook or Apple ID (collectively, a "Third Party Account") login details. If you create an account using your Third Party Account login details, you authorize us to access, display and use certain information in your Third Party Account. For more information on what information we use and how we use it, please review our Privacy Policy.

You may terminate your membership at any time for any reason, effective as of the date Spider receives your written notice of termination via email (SpiderOFC@outlook.com).

Spider may terminate your membership for any reason, with or without explanation, effective as of the date the notice is sent to the email address you provided at the time of registration or any other email address you have provided to Spider. If Spider terminates your membership without cause, you will receive a pro-rated refund of any fees paid by Spider from you. If your Spider membership is terminated for breach of this Agreement or at your request, you will not be entitled to a refund of any fees not used for use of Spider or its additional services, and Spider will have no liability. Use of paid services is non-refundable unless otherwise provided in this Agreement. This Agreement will remain in full force and effect even if your membership is terminated.

3. Members may not use it for commercial purposes

Spider is for personal use by members only and may not be used for any commercial activity. Organizations, companies, businesses and/or other entities may not become members and may not use the services or the Site/Application for any purpose. Illegal and/or unauthorized use of the Site/Application, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Site/Application, will be investigated and appropriate legal action may be taken, including but not limited to civil, criminal, and injunctive relief. You hereby grant, represent and warrant that you will not create any database, website, application, software, legal entity, and service that is competitive with Spider. You further warrant and guarantee that you will not use the Site/Application for any commercial purpose and/or send or receive money through the Site/Application and/or create an account using a false username. You further warrant and guarantee that you will not be compensated for the use of the Site/Application and the services provided by the Site/Application. Such activities will be investigated, your membership may be terminated, and appropriate legal action may be taken, including but not limited to civil, criminal, and injunctive relief.

4. Permitted Use

Subject to your compliance with the terms and conditions set forth in this Agreement, Spider grants you a personal, limited, non-commercial, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use our Services solely on a personal computer or other smart device and for your personal use only. If you create a Spider account by connecting to a third-party platform (e.g., Google Play, Apple Store), you will be subject to the usage rules set forth in the terms of service of each third-party platform as of the date of this Agreement. The sole purpose of this license is to enable you to use and enjoy the benefits of the Services in the manner permitted by these Terms. You may not copy, modify, distribute, sell or lease any part of our Services, nor may you reverse engineer the software or attempt to extract the source code, unless applicable law prohibits such restrictions or you have obtained our written permission.

5. Intellectual Property

Spider owns or otherwise reserves all intellectual property rights in the Website/Application and Services. These rights include, but are not limited to, database rights, copyright, design rights (whether registered or not), patents, trademarks (whether registered or not) and other similar rights (wherever they exist in the world), and the right to apply to Spider and its licensors for the protection of those rights. You may not copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary information, except for information that is in the public domain or for which you have obtained written permission. For matters not expressly authorized in this Agreement, such as commercial sales, reproduction, third-party licensing of Spider, etc., you should separately obtain Spider's formal written permission.

6. Content Posted by Spider

You agree that any content, information, photos, videos, audio and video calls or personal data (collectively, "Content") shall be subject to our guidelines as updated from time to time in the Spider Terms of Service.

​You understand and agree that Spider may store for review and removal at its sole discretion for any Content that may be offensive, illegal, or may infringe upon the rights, damage or threaten the safety of other members or any third party under this Agreement.

*You are solely responsible for the Content that you post or display ("Post") or transmit to other members through the Website/Application.

By posting Content to any public area of ​​the Website/Application, you automatically grant, represent and warrant that you have the right to grant Spider an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, reproduce, perform, display and distribute such information and Content, and to prepare derivative works from or incorporate such information and Content into other works. And to grant and authorize sublicenses of such rights.

*The following is a partial list of illegal or prohibited Content on the Website/Application. Spider reserves the right to investigate and take appropriate legal action at its sole discretion against anyone who violates these Terms, including but not limited to removing the offending communications from the Service and terminating the Membership of such violators. Prohibited Content includes, but is not limited to, the following:

(a) Content that is patently offensive to the online community, such as promoting racism, bigotry, hatred, or any form of physical harm against any group or individual;

(b) Harassing or advocating harassment of others;

(c) Involving the dissemination of "spam," "chain letters," or unsolicited mass mailings or "spamming"

(d) Promoting information that you know is defamatory, false, misleading, or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libellous;

(e) Promoting the illegal or unauthorized copying of copyrighted works by others, such as providing pirated computer programs or links, providing information to circumvent manufacturer-installed copyrighted devices, or providing pirated music or pirated copies of music files;

(f) contain restricted or password-only pages, or hidden pages or images (pages or images that are not linked to or from other accessible pages);

(g) publicly display inappropriate content or materials (such as those involving nudity, bestiality, pornography, violent images, or criminal activities);

(h) provide materials that sexually or violently exploit people under the age of 18, or solicit personal information from people under the age of 18;

(i) provide instructions for illegal activities such as making or buying illegal weapons, violating the privacy of others, providing or creating computer viruses;

(j) solicit passwords or personal identification information from other users for commercial or illegal purposes;

(k) Engage in commercial activities and/or sales, such as contests, sweepstakes, barter, advertising and pyramid schemes, without Spider’s prior written consent.

* You must use the Service in a manner that complies with all applicable laws and regulations. Your content must comply with applicable international, national and local laws and regulations.

* You may not include any phone number, street address, real name, URL or email address in your profile. You may not include any URL, email address or telephone and fax numbers in your communications with other members.

* You may not advertise to or solicit other members to buy or sell any product or service through the Service. You may not send any chain letters or spam to other members. While Spider cannot monitor the behavior of its members outside of the Site/App, it is also a violation of these Rules to use any information obtained from the Service to harass, abuse or harm others, or to contact, advertise, solicit or sell any product or service to a member without the member’s prior express consent. In order to protect its members from such advertising or solicitation, Spider reserves the right to limit the number of emails a member may send to other members in a 24-hour period, and Spider may limit the number of emails it deems appropriate in its sole discretion.

*You may not collect data from the authorized and unauthorized areas of Spider by automated means (robots, spiders, crawlers or equivalent) or by creating false user accounts or anonymous proxy servers or similar measures, or by circumventing any technological measures to prevent prohibited activities on Spider. You may not collect data from the Spider authorized areas by any other means, including manual collection of data.

*To ensure the quality of the services provided, your communications through this website/application may be recorded.

* Spider reserves the right to investigate at its sole discretion and take appropriate legal action against anyone who violates these Terms, including but not limited to removing the offending communications from the Service and terminating the membership of such violators.

7. Services provided by third parties

* To facilitate your use of the Service, the Service may use third-party services, the results of which are provided by third parties (including but not limited to the services and content provided by third parties that you directly access through the Service, or third parties access services and content provided by third parties through the Service). In addition to the terms of this Agreement, your use of services provided by third parties on the Spider Device shall also comply with the third party's user agreement. Spider cannot guarantee the security, accuracy, effectiveness and other risks of the services and content provided by third parties, and the risks and responsibilities arising therefrom shall be borne by you.

* Whether the third-party service is pre-installed on the Spider device or you subscribe or subscribe to it yourself, you understand and agree that Spider does not make any express or implied guarantees regarding the security, accuracy, effectiveness and other uncertain risks of the services and content provided by third parties.

* Any disputes between you and the above-mentioned third-party service providers shall be resolved by you and the third party (if any).

8. Copyright Policy

You may not post, distribute or reproduce in any way any copyrighted material, trademark or other proprietary information without the prior written consent of the copyright owner. Without limiting the foregoing, if you believe that your work has been copied and posted on the Service in a way that infringes copyright, please provide Spider's Copyright Agent with the following information: an electronic or physical signature of the person authorized to act on behalf of the copyright owner; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim infringes the copyright is located on the Site/App; your address, telephone number and email address; a written statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; and a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

9. Member Communications

You are solely responsible for your interactions with other Spider Members. Spider reserves the right to monitor disputes between you and other Members, but has no obligation to do so. In addition, Spider is not responsible for the expectations, promises, or the authenticity of any information from any Member.

10. Privacy Policy

When you use the Service, Spider may need to collect your personal data in order to provide you with the Service. Spider takes the protection of your personal data very seriously and has developed the Spider Privacy Policy, which details how Spider collects, uses, stores, transfers and discloses your personal data. You can refer to the Privacy Policy for details, which is an integral part of this Agreement. By downloading, installing or using the Service, you agree to be bound by the terms of this Agreement and its Privacy Policy, and Spider will protect your privacy in accordance with this Privacy Policy.

11. Suppliers

In order to provide the Services, Spider may purchase services from various third parties and affiliated marketing partners (collectively, “Suppliers”). Suppliers are independent contractors and are not agents or employees of Spider. Spider shall not be liable for the intentional or negligent acts and/or omissions of any Supplier or any of its employees, agents, servants or representatives, including, but not limited to, their failure to provide or the partial or inadequate performance of the Services. Spider is not permitted to provide contact information to Suppliers under the terms of its agreement with Suppliers. The services provided by Suppliers include, but are not limited to, the following:

* Suppliers shall provide complete, accurate and legal information required for registration with Spider in accordance with the terms of this Agreement prior to Member registration.

* Each Provider may provide translation services to registered Members and shall have access to all communications of such Members.

* Suppliers shall provide additional services in accordance with the terms of their agreement with Spider.

* Any additional services requested by Spider Members that fall within the scope of Supplier’s activities but are not defined in the terms of the agreement between Spider and Suppliers may be processed by Suppliers but will not be automatically granted.

Spider is not responsible for the quality of any additional services provided by Suppliers. The Website/Application and Services are provided “as is” and Spider expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Spider cannot guarantee and does not promise that use of the Website/Application and/or Services will produce any specific results.

12. Members

Spider does not influence the relationship between the members of the Website/Application. A member may terminate his/her membership in Spider at any time. Spider's suspension of membership is subject to the following provisions:

* If a member is no longer interested in the Service, the Spider Customer Support Administrator shall review the correspondence between the member and other members with whom the member has been communicating ("Correspondents").

* If a member requests the deletion of his/her personal data from Spider for unspecified personal reasons, the corresponding person shall not be entitled to receive any information regarding the deletion of the member's personal data, as this is in violation of Spider's Privacy Policy.

* If a member is identified on an anti-fraud website or we receive credible evidence of a member's illegal activities from other members, the member's personal data may be deleted from the Website/Application, provided that Spider, in its sole discretion, determines that the information provided is substantial and irrefutable.

13. Indemnification

You will indemnify, release, and hold harmless Spider, its parent, subsidiaries, and affiliates, and all of their officers, directors, agents, and employees, and any party acting on Spider’s behalf, from and against any and all third-party claims, actions, liabilities, losses, damages, judgments, costs, and expenses arising out of: (i) your or any other person’s use of the Spider Services or Products that appear on the Spider Services that is not in conformity with the terms of this Agreement; (ii) any violation of this Agreement by you or anyone you allow; or (iii) any violation of any law, regulation, or third-party rights by you or anyone you allow using the Services or Products that appear on the Services.

14. Disclaimer

Spider provides the Service "as is" and makes no warranties of any kind, express, implied or statutory, in any communications with its representatives, except for warranties relating to the Service. Spider expressly disclaims any implied warranties of merchantability or fitness for a particular purpose. In addition, Spider does not warrant that your use of the Service will be secure, uninterrupted, always available or error-free, that the Service will meet your requirements, or that any defects in the Service will be corrected. Spider assumes no responsibility for connectivity and availability and does not provide any warranties.

While each member must agree to this Agreement, Spider cannot guarantee that each member is at least the required minimum age and is not responsible for any content, communications or other use or access to the Service by persons under the age of 18 in violation of this Agreement. In addition, other members or users (including unauthorized users or "hackers") may post or transmit offensive or obscene materials through the Service, and you may be inadvertently exposed to such offensive or obscene materials. Others may also obtain your personal information as a result of your use of the Service. Others may use your information for purposes not intended by you. Spider is not responsible for the use of any personal information you disclose on the Service. Please choose carefully the type of information you post on the Service or to others. We cannot guarantee that a particular member is using their personal data privately, but we will do everything we can to prevent such behavior.

Spider is not responsible for the actions or omissions of other members or users, including unauthorized users, regardless of the form they take and whether or not they occur in the course of using the Service. Spider is not responsible for any incorrect or inaccurate content on or related to the Site/App, whether caused by users of the Site/App, members or any of the equipment or programming associated with or in connection with the Service. Spider is not responsible for the conduct of any Site/App user or member of the Service, whether online or offline. Spider is not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of user or member communications. Spider is not responsible for problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, email or players on account of technical problems or traffic congestion on the Internet or on any Website/App, or combination thereof, including injury or damage to users' and/or members' or anyone else's computers. Also, Spider is not responsible for any injury or damage resulting from participation in or downloading materials in connection with the Website and/or Services. In no event will Spider be liable for any loss or damage, including personal injury or death, incurred by any person as a result of the use of the Website/App or Services, any Content posted on the Website/App or transmitted to Members, or any interactions between users of the Website/App, whether online or offline.

15. Limitation of Liability

Except in jurisdictions where these terms are restricted, in no event will Spider be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, resulting from your use of the Site/App or Services. And damages for loss of data, loss of programs, costs of procurement of substitute services, or service interruptions, even if Spider knows or has been advised of the possibility of such damages. Spider is not responsible for any activities outside of our services (including but not limited to travel, delivery, conference, etc. related expenses). These expenses will be borne by you. Notwithstanding anything to the contrary in this Agreement, Spider's liability to you (for any reason and regardless of the form of the action) will always be limited to the amount paid by you (if any) for use of Spider's services during the membership period.

16. Usage by Minors Prohibited
Spider strictly abides by the stipulations of the CSAE. Individuals under the age of 18 are not authorized to utilize any of Spider's services. Spider takes a zero-tolerance stance towards any actions that jeopardize the well-being of minors, such as entrapment, exploitation, abuse, or assault. Additionally, self-harm, suicidal tendencies, and any conduct that poses a threat to oneself or others are strictly forbidden.

Should you come across a minor while engaging with Spider, please make use of the reporting mechanism we've provided or reach out to us via our customer service email, SpiderOFC@outlook.com. Once verified, the Spider Team will swiftly and decisively terminate the minor's access to our services.

17. Indemnification

You agree to indemnify and hold Spider, its subsidiaries, affiliates, officers, agents, and other partners and employees harmless from any loss, liability, claim, or demand (including reasonable attorneys’ fees) made by any third party due to or arising out of your use of the Service in violation of this Agreement; and/or any allegation that any content you submit to Spider or transmit to the Site/App infringes or otherwise violates the copyright, trademark, trade secret, or other intellectual property or other rights of any third party; and/or any loss, liability, claim, or demand arising out of a breach of this Agreement and/or a breach of your representations and warranties set forth above. This indemnification applies regardless of the negligence of any party (including any Indemnitee).

18. General Provisions

1. Titles. The titles of all clauses of this Agreement are for reference only and have no actual meaning and shall not be used as a basis for interpreting the meaning of this Agreement.

2. Severability. If any provision of this Agreement is held invalid or unenforceable by any judicial or administrative body for any reason, such determination shall not affect the enforceability of the remaining provisions of this Agreement, which shall continue in full force and effect and shall be interpreted in accordance with their terms.

3. Language. If this Agreement is entered into in English or another language. In the event of any discrepancy, the English version shall prevail.

4. No Waiver. Spider's failure to enforce any provision of the Spider Services at any time, or failure to require you to enforce any provision of the Spider Services at any time, shall not be construed as a waiver of such provision now or in the future, nor shall it in any way affect Spider's right to enforce such provision thereafter. The express waiver of any provision, condition or requirement of the Services shall not constitute a waiver of any obligation to comply with such provision, condition or requirement thereafter.

5. Full Consent. This Agreement constitutes the entire agreement between you and Spider regarding your use of the Spider Software and supersedes any prior agreements between you and Spider regarding your use of the Spider Software. You may also be subject to additional terms and conditions that may apply when you use or purchase open source software, third-party content or other Spider services.
